Terms of Service

You must be at least 18 years of age and represent a duly registered business entity to create a live HelmPay account. Sandbox accounts are available to individual developers without entity registration for integration and testing purposes only.

By accepting these Terms, you represent and warrant that you have the legal authority to bind the entity on whose behalf you are acting, and that the entity is not on any sanctions list maintained by the UN, OFAC, or the Government of India.

You are responsible for maintaining the confidentiality of your API keys, dashboard credentials, and any other access tokens issued by HelmPay. You must promptly notify us at security@helmpay.com if you suspect any unauthorised access to your account.

HelmPay is not liable for any loss arising from unauthorised use of your account credentials when such use results from your failure to maintain adequate security practices.

You may use the Service only for lawful business purposes. You agree NOT to:

• Process transactions that violate applicable law, including PMLA, FEMA, and RBI guidelines
• Use the Service to facilitate gambling, adult content, arms, or controlled substances unless explicitly licensed
• Attempt to reverse-engineer, decompile, or gain unauthorised access to any portion of the Service
• Resell or sublicense access to the Service without prior written approval
• Submit fraudulent chargebacks or knowingly process stolen payment credentials

Your applicable fee schedule is set out in your Merchant Agreement or displayed in the Pricing section of your dashboard. HelmPay reserves the right to update fees with 30 days' written notice.

Settlements are disbursed according to the schedule in your account settings (default T+2). HelmPay may withhold or delay settlements where there is a reasonable suspicion of fraud, pending dispute, or regulatory inquiry.

All fees are exclusive of applicable taxes. GST and other statutory levies will be charged separately as per prevailing rates.

You are responsible for all chargebacks, refunds, and reversal fees arising from transactions processed under your account. HelmPay will provide reasonable assistance in disputing chargebacks but does not guarantee outcomes determined by card networks.

We reserve the right to maintain a rolling reserve of up to 15% of monthly processing volume for a minimum of 90 days if your chargeback ratio exceeds 1% in any calendar month.

All intellectual property in the HelmPay platform, including but not limited to software, APIs, documentation, trademarks, and brand assets, is owned by or licensed to HelmPay Technologies Pvt. Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely as permitted by these Terms.

To the maximum extent permitted by law, HelmPay's aggregate liability to you for any claim arising out of or related to the Service shall not exceed the fees paid by you to HelmPay in the 3 months preceding the event giving rise to the claim.

HelmPay is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

Either party may terminate these Terms with 30 days' written notice. HelmPay may suspend or terminate your account immediately for material breach, regulatory non-compliance, or fraud. Upon termination, outstanding settlements will be processed after satisfying any outstanding obligations, chargebacks, or reserved amounts.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka. We encourage resolution of disputes through our support channels before initiating formal proceedings.

We may revise these Terms at any time. Material changes will be communicated via email with at least 14 days' notice. Continued use of the Service after the effective date constitutes acceptance.
